Contract and scope

Scope

The terms apply to all deliveries and services of snapSEC GmbH to its clients, including future business and projects abroad. The version valid when the contract is concluded applies.

Deviating agreements in a quote or contract take precedence over the terms. Agreements must in principle be made in writing; oral agreements are confirmed in writing.

Additional terms

For blacklens.io services and products, the blacklens.io terms of service also apply; for partners, the individual partner agreement applies.

Term and notice

Unless agreed otherwise, either party may terminate an open-ended contract with 3 months' notice to the end of a calendar quarter.

Cancellation

If a project is cancelled 5 days or less before it starts, costs for scoping, planning and preparation of up to 10% of the net order value may be charged.

Prices and payment

Prices

All prices are net prices in euros. Unless agreed otherwise, travel costs, expenses and extra costs outside normal working hours are charged in addition; travel time counts as working time.

Working hours

Hourly and daily rates apply Monday to Friday, 07:00 to 17:00. Work outside these hours is agreed in advance and charged with a surcharge.

Indexation

Agreed fees are adjusted annually in line with the Austrian consumer price index 2020, quarterly for managed service contracts that can be cancelled monthly.

Payment

For project services, 35% is invoiced when the order is placed and the rest after acceptance. Unless agreed otherwise, payment is due within 14 days net.

Working together

Subcontractors

snapSEC may involve highly qualified staff of other companies or freelancers. Information on the person, their qualifications and the scope of work is available on request at any time.

Confidentiality and references

Both parties protect each other's trade secrets and comply with Austrian data protection law and the GDPR, even after the contract ends. References on our website are agreed separately.

Warranty

Warranty follows the statutory provisions. IT security solutions are set up according to the state of the art; a guarantee of absolute security is excluded.

Law and disputes

Austrian law applies, excluding the UN Sales Convention; the court at snapSEC GmbH's registered office has jurisdiction. Both parties first seek an out-of-court settlement, with business mediation if needed.

Working hours, surcharges and payment

Some work can only be done in the evening or at weekends, for example in maintenance windows. The terms set clear surcharges for this, and we agree such work with you in advance.

• Normal working hours: Monday to Friday, 07:00 to 17:00
• Monday to Friday, 17:00 to 22:00: 50% surcharge
• Night hours, weekends and public holidays: 100% surcharge
• Projects: 35% when the order is placed, the rest after acceptance
